Professional Shipping and Consignment Services Agreement

1. Introduction and Acceptance of Terms

Welcome to IGL Logistics, a professional shipping and consignment services platform. These Terms and Conditions constitute a legally binding agreement between you (the "Customer," "Shipper," "Consignee," or "User") and IGL Logistics Inc. ("IGL Logistics," "we," "us," or "our").

By accessing our platform, creating an account, or utilizing any of our shipping and consignment services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and any additional service-specific terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, you must not use our services.

2. Definitions

"Consignment" refers to any goods, packages, parcels, or cargo tendered to IGL Logistics for transportation and delivery.

"Shipper" refers to the party who tenders a consignment to IGL Logistics for transportation.

"Consignee" refers to the party designated to receive the consignment at its destination.

"Services" refers to all shipping, logistics, tracking, warehousing, and related services provided by IGL Logistics.

"Platform" refers to IGL Logistics's website, mobile applications, and any other digital interfaces through which services are accessed.

"Delivery" means the transfer of possession of a consignment to the consignee or their authorized representative.

3. Service Description

IGL Logistics provides comprehensive shipping and consignment services, including but not limited to domestic and international freight forwarding, express delivery, standard shipping, warehousing, package tracking, insurance options, and customs clearance assistance.

Service availability, delivery times, and shipping rates may vary based on origin, destination, package dimensions, weight, service level selected, and other factors. All service commitments are subject to these Terms and Conditions and are estimates rather than guarantees unless explicitly stated otherwise in writing.

IGL Logistics reserves the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice, subject to applicable laws and regulations.

4. Account Registration and Security

To access certain services, you must create a IGL Logistics account by providing accurate, current, and complete information including your legal name, business name (if applicable), address, contact information, and payment details.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify IGL Logistics of any unauthorized access or security breach.

IGL Logistics may suspend or terminate accounts that provide false information, engage in fraudulent activity, or violate these terms. Business accounts may require additional verification and documentation.

5. Shipping and Consignment Terms

5.1 Shipper Responsibilities

The shipper warrants that all consignments are properly packed, labeled, and documented in accordance with applicable laws and regulations. The shipper must accurately declare the contents, value, weight, and dimensions of each consignment.

The shipper is responsible for obtaining all necessary licenses, permits, and authorizations for the shipment of goods, including export and import documentation, and must ensure compliance with all customs and regulatory requirements.

5.2 Prohibited Items

IGL Logistics prohibits the shipment of the following items:

  • Hazardous materials, explosives, flammable substances, and toxic chemicals unless properly declared and authorized
  • Illegal drugs, narcotics, and controlled substances
  • Weapons, ammunition, and military equipment without proper authorization
  • Counterfeit goods and items that infringe intellectual property rights
  • Live animals, perishable items requiring special handling without prior arrangement
  • Currency, negotiable instruments, precious metals, and stones exceeding declared limits
  • Obscene, pornographic, or offensive materials
  • Any items prohibited by local, national, or international law

5.3 Inspection Rights

IGL Logistics reserves the right to inspect any consignment at any time to verify contents, ensure compliance with these terms, and comply with legal requirements. We may open and inspect packages if necessary for safety, security, or regulatory compliance.

6. Rates, Charges, and Payment Terms

Shipping rates are calculated based on package dimensions, weight, origin, destination, service level, and any additional services requested. All rates displayed on our platform are subject to change and are confirmed at the time of booking.

Payment is due at the time of shipment unless a credit account has been established. Additional charges may apply for special handling, insurance, customs duties, storage, address corrections, redelivery attempts, and other ancillary services.

The shipper or payer is responsible for all charges including duties, taxes, customs fees, storage fees, and any penalties incurred. Failure to pay amounts due may result in consignment detention, return, or legal action.

All prices are quoted exclusive of applicable taxes, duties, and government-imposed fees unless otherwise stated. Currency exchange rates for international shipments are determined at the time of transaction.

7. Delivery Terms and Conditions

IGL Logistics will make reasonable efforts to deliver consignments within the estimated timeframes. However, delivery times are estimates and not guaranteed unless explicitly stated in a premium service agreement. Delays may occur due to weather, customs clearance, regulatory inspections, force majeure events, or other circumstances beyond our control.

Delivery is deemed complete when the consignment is delivered to the address provided by the shipper and signed for by any person at that address, unless signature release or specific delivery instructions have been authorized.

If a consignment cannot be delivered after reasonable attempts, it may be returned to the shipper at the shipper's expense, held for pickup, or disposed of in accordance with applicable laws and regulations.

The consignee must inspect the consignment upon delivery. Any visible damage or shortage must be noted on the delivery receipt and reported to IGL Logistics within 24 hours.

8. Liability and Claims

8.1 Limitation of Liability

IGL Logistics's liability for loss, damage, or delay to any consignment is limited to the lesser of the actual value of the goods or $100 per package, unless additional insurance coverage has been purchased or a higher declared value has been paid for.

IGL Logistics shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, loss of business, or loss of use, even if advised of the possibility of such damages.

8.2 Claims Procedure

All claims for loss, damage, or delay must be submitted in writing to IGL Logistics within 30 days of delivery or the scheduled delivery date. Claims must include the tracking number, proof of value, photographs of damage, and all original packaging materials.

Failure to file a claim within the specified timeframe will result in waiver of all claims. IGL Logistics will investigate all claims and provide a resolution within 60 days of receipt of a complete claim submission.

8.3 Exclusions

IGL Logistics is not liable for loss or damage resulting from improper packing, acts of God, war, terrorism, civil unrest, strikes, government actions, customs delays, acts of the shipper or consignee, inherent vice of the goods, or any cause beyond our reasonable control.

9. Insurance

IGL Logistics offers optional insurance coverage for consignments at an additional cost. Insurance premiums are calculated based on the declared value of the goods. We strongly recommend purchasing insurance for high-value or fragile items.

Insurance claims are subject to the terms and conditions of the insurance policy and must be filed within the timeframes specified. The shipper must declare the full value of the consignment to obtain appropriate coverage.

Certain items may be excluded from insurance coverage or subject to special conditions. Please review insurance documentation carefully or contact our customer service for clarification.

10. Customs and International Shipping

For international shipments, the shipper is responsible for providing accurate and complete customs documentation including commercial invoices, packing lists, certificates of origin, and any other required documents.

The shipper and consignee are responsible for all customs duties, taxes, import/export fees, and any penalties assessed by customs authorities. IGL Logistics may assist with customs clearance but does not guarantee clearance or acceptance by any customs authority.

Consignments held by customs for any reason may incur storage fees. IGL Logistics is not responsible for delays caused by customs inspections, documentation issues, or regulatory compliance matters.

The shipper must comply with all export control laws and sanctions. IGL Logistics reserves the right to refuse shipments to restricted destinations or parties subject to trade sanctions.

11. Data Protection and Privacy

IGL Logistics collects, processes, and stores personal and business information in accordance with our Privacy Policy and applicable data protection laws. This information is necessary for providing our services, processing payments, customs clearance, and communications.

We may share information with authorized agents, contractors, customs authorities, government agencies, and other parties as necessary to fulfill our services or comply with legal obligations.

You consent to the collection, use, and transfer of your data as described in our Privacy Policy. We implement industry-standard security measures to protect your information but cannot guarantee absolute security.

12. Force Majeure

IGL Logistics shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, strikes, labor disputes, government actions, epidemics, pandemics, equipment failures, power outages, or any other force majeure event.

In the event of force majeure, IGL Logistics will make reasonable efforts to minimize the impact and resume normal operations as soon as practicable. Customers will not be entitled to refunds or compensation for delays caused by force majeure events.

13. Indemnification

You agree to indemnify, defend, and hold harmless IGL Logistics, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms and Conditions
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • The contents of any consignment you ship
  • Your provision of inaccurate or misleading information
  • Any prohibited or restricted items in your consignment

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved through good faith negotiations between the parties.

If the parties cannot resolve the dispute within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association or equivalent body in the applicable jurisdiction.

Notwithstanding the above, IGL Logistics may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent irreparable harm.

15. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which IGL Logistics is incorporated, without giving effect to any choice or conflict of law provisions.

For international shipments, the applicable international conventions including the Warsaw Convention, Montreal Convention, or CMR Convention may apply. In the event of conflict, international conventions shall prevail to the extent applicable.

16. Severability and Entire Agreement

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms and Conditions, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and IGL Logistics regarding the use of our services and supersede all prior agreements and understandings.

17. Amendments and Modifications

IGL Logistics reserves the right to modify these Terms and Conditions at any time. Material changes will be notified to users via email or prominent notice on our platform at least 30 days before the effective date.

Your continued use of our services after the effective date of any amendments constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of our services.

By using IGL Logistics's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You further acknowledge that these terms constitute a binding legal agreement between you and IGL Logistics Inc.
